Context is everything. Contextual elements here are open source and not-for-profit. The primary issue of by-laws depends on the relationship between a corporate entity and a group of people. There is a significant element of equivocation associated with the term person, which can refer to both a corporate entity and an individual man or woman. If equivocation results in the loss of legal status (capitis denintutio) from that of a man (who has sui juris status) to that of a corporate entity, a fraud exists.

The reason for this is related to the idea of "consider the source", to the value of money, and to the role of religion in law. I'll elaborate if there is interest from the group.
