3 The Gentoo Foundation Inc. is preparing for its annual Trustee
4 Elections. The nomination period is four weeks commencing early
5 February, the voting period is four weeks in March, the newly
6 elected Trustees take their seats in early April, as soon as the
7 results of the ballot are known.
8 Exact dates will be set by the Gentoo Elections project.

10 At the trustees meeting of 17 January 2010, a recording date of 31
11 January was set. Simply put, only Foundation members who are members on
12 31 January can stand or vote in this election.

14 Trustees retire by rotation every two years to ensure there is
15 continuity of the board, this year, NeddySeagoon, tsunam and dabbot
16 will retire.

18 Also for the first time after this election, the membership will be

23 Full members who remain Gentoo developers shall have their membership
24 continued until it is terminated in accordance with 4.8 or 4.9.

26 Full members who retire from the Gentoo project shall have there
27 membership continued while they indicate that they remain interested in
28 the affairs of the Foundation unless their membership is terminated in
29 accordance with 4.8 or 4.9.

31 Criteria for loss of interest in the foundation shall be determined by
32 the trustees, from time to time.

35 The current determination of loss of interest is failure to vote in
36 two successive trustee elections.

46 Each person who was or is a party or is threatened to be made a party
47 to any threatened, pending or completed action, suit, or proceeding,
48 whether civil, criminal, administrative, or investigative (other than
49 an action by or in the right of the foundation), by reason of the fact
50 that he or she is or was a director, officer or member of the
51 foundation, or is or was serving at the request of the foundation as a
52 director, officer, employee, or agent of another foundation,
53 partnership, joint venture, trust, or other enterprise, shall be
54 entitled to indemnification against expenses (including attorneys'
55 fees), judgements, fines, and amounts paid in settlement to the fullest
56 extent now or hereafter permitted by applicable law as long as such
57 person acted in good faith and in a manner that such person reasonably
58 believed to be in or not be opposed to the best interests of the
59 foundation; provided, however, that the foundation shall indemnify any
60 such person seeking indemnity in connection with an action, suit or
61 proceeding (or part thereof) initiated by such person only if such
62 action, suit or proceeding (or part thereof) was authorized by the
63 Board of Trustees.

65 In short - if a member gets sued while acting in good faith for the
66 Foundation the Foundation is sued in the members place.

68 How do you become a Gentoo Foundation Inc. member?

72 Full members are admitted by petitioning the trustees for membership,
73 providing verifiable evidence of their contribution to Gentoo.

75 Active Gentoo developers who are not members of the Foundation may
76 apply for membership. Any developer applying for membership in the
77 Foundation will become a member of the Foundation immediately after the
78 next Trustee meeting following the application unless an absolute
79 majority of the trustees (currently 3 out of 5) oppose membership for
80 the developer at this meeting.

82 Applicants who are not Gentoo developers need to cite verifiable
83 evidence of contributing to Gentoo or to the stated aims of the Gentoo
84 Foundation Inc.

86 Examples of contributing include but are not limited to, arch testing,
87 bugzilla, Gentoo forums, working with existing developers.
88 Contribuitions will be verified. The decision of the trustees is final.

90 Monetary contributions will be discounted - Gentoo Foundation
91 membership cannot be bought.

94 The trustees will be processing any applications for membership in a
95 timely manner in an attempt to ensure new members are entitled to
96 participate in this election.
