So, there is no legal requirement for the actual work to be done by an |
15 |
officer. There is also no legal requirement for an officer to be a |
16 |
member. Officers are appointed by the board. |
17 |
|
18 |
Usually the way it works in most organizations is that board members |
19 |
are people with experience on boards and who are very invested in the |
20 |
success of an org. They generally don't do work - they do oversight. |
21 |
|
22 |
They usually hire officers. These are often not members, but as with |
23 |
any interview you're looking for people who will care about doing the |
24 |
job right. |
25 |
|
26 |
The officers in turn can do work themselves, hire employees, or |
27 |
outsource the actual work. Typically the officers will oversee the |
28 |
outside work and provide continuity but often the heavy lifting is |
29 |
done by specialists. |
30 |
|
31 |
This is basically how we're operating except the officers are insiders |
32 |
and unpaid. The treasurer is overseeing the books but has hired an |
33 |
accountant to do the work. The treasurer could be somebody unaffiated |
34 |
with Gentoo, and they could either do the work themselves or continue |
35 |
to hire somebody else. |
36 |
|
37 |
Obviously the more outsiders you involve, the more it costs. So there |
38 |
are lots of practical reasons not to do it too much. However, legally |
39 |
the board has a lot of flexibility in getting work done. |
40 |
|
41 |
Also, there isn't really a lot of requirement that particular officers |
42 |
do particular jobs in New Mexico. There are just a few things that |
43 |
must be done by an officer, but there is no rule on which officer must |
44 |
do them. |

Relevant regs I can find are: |

(The latter references the former and has a bunch of other citations, |
51 |
and those others don't seem to have much of relevance here.) |
