1) When you are a director or officer you incur some liability (the |

but there are obviously things that piece that shield.) If this makes you |

uncomfortable, that is fine. If you don't want to hold this position |

without Directors and Officers (D&O) insurance, that is also fine. |

2) Your comments seem to elude to the fact that previous (and current) |

boards committed crimes. I don't believe this to be true and I'd prefer if |
